1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of C0RTEX, a cloud-hosted, subscription AI customer-support chatbot service provided by Perfect Paradox Ltd (the "Service").

C0RTEX is delivered as a managed software-as-a-service ("SaaS") product. Perfect Paradox hosts and operates a dedicated, isolated instance of C0RTEX on your behalf. You configure the Service through a web dashboard and embed a chat widget on your website.

By creating an account, starting a trial, subscribing to a paid plan, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and "you" and "your" include that organisation.

The Data Processing Agreement ("DPA") referred to in Section 8 forms part of these Terms and is incorporated by reference. It applies automatically to every Customer.


2. Definitions


3. The Service

3.1 What C0RTEX does

C0RTEX is a hosted, text-based AI support assistant. Perfect Paradox provisions a dedicated Instance for you in the cloud. The Service indexes your Knowledge Base into a vector store, receives questions from End Users via the Widget, retrieves relevant fragments using RAG, and generates text responses using an LLM. Perfect Paradox operates this pipeline as a managed service on your behalf.

3.2 Nature of the Service

(a) C0RTEX is a cloud-managed service. Perfect Paradox hosts each Customer's Instance and processes Instance Data on the Customer's behalf as a data processor (see Section 8 and the DPA).

(b) C0RTEX provides text-based support automation only. It does not provide legal, medical, financial, or other professional advice. Responses are informational and may contain errors.

(c) C0RTEX does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated responses. The quality of responses depends substantially on the quality of your Knowledge Base.

3.3 Instance isolation

Each Customer's Instance is logically isolated from every other Customer's Instance. There is no shared application database between Customers, and one Customer's Instance cannot access another Customer's Instance Data.

3.4 Availability

We will use commercially reasonable efforts to keep the Service available, but the Service is provided without a formal uptime guarantee unless a separate written Service Level Agreement applies. We may carry out scheduled or emergency maintenance and will use reasonable efforts to minimise disruption.

3.5 Future products (SYN4PSE)

Perfect Paradox is developing SYN4PSE, a voice telephone receptionist product that involves call handling, call recording, and speech-to-text transcription. SYN4PSE is not yet generally available. Any use of SYN4PSE will be subject to additional terms, including additional data-processing and consent requirements (e.g. under the Privacy and Electronic Communications Regulations 2003 ("PECR")) relating to call recording and transcription. These Terms do not grant any right to use SYN4PSE.


4. Account and Eligibility

4.1 Eligibility

You must be at least 18 years of age and, where acting for an organisation, have authority to enter into these Terms on its behalf. C0RTEX is a business-to-business product and is not intended for personal/consumer use.

4.2 Account security

You are responsible for maintaining the confidentiality and security of your account credentials, API keys, and dashboard access. You must notify us promptly at info@perfectparadox.co.uk of any suspected unauthorised access.

4.3 Accurate information

You agree to provide accurate, current and complete information when creating an account or subscribing.


5. Plans, Trial and Payment

5.1 Plans

Plan inclusions, limits and features are described on our website and may be updated from time to time. Prices are stated exclusive of any applicable taxes; the final amount charged (including VAT) is determined and displayed at checkout by Paddle.

5.2 Free trial

We offer a 14-day free trial. Unless you cancel before the end of the trial, your subscription will automatically convert to a paid Plan and the first payment will be taken. We may modify or withdraw trial terms at any time. One trial per Customer unless we agree otherwise.

5.3 Payments and Merchant of Record

Payments are processed by Paddle, which acts as the Merchant of Record (reseller) for the Service. By subscribing, you also agree to Paddle's buyer terms. Paddle is responsible for handling the transaction, issuing invoices/receipts, and collecting and remitting applicable sales taxes/VAT. We do not store or have access to your full payment card details.

5.4 Billing cycle

Subscriptions are billed monthly in advance through Paddle and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated, fees are non-refundable and we do not provide pro-rata refunds for partial periods.

5.5 Price changes

We may change prices on at least thirty (30) days' notice. Changes take effect at the start of the next billing cycle after the notice period. Continued use after the change takes effect constitutes acceptance.

5.6 Late or failed payment

If a payment fails or an amount is overdue, we (or Paddle) may retry the charge, and we may suspend or terminate the Service in accordance with Section 12.


6. Customer Obligations

6.1 Knowledge Base quality and rights

You are solely responsible for the accuracy, legality, and appropriateness of the content you place in your Knowledge Base, and you warrant that you have the rights necessary to upload and process that content. C0RTEX generates responses based on your content; errors in your content may be reflected in responses.

6.2 End User disclosure

You must clearly inform your End Users that they are interacting with an AI-powered system and not a human agent. This disclosure must be visible in or adjacent to the Widget.

6.3 Lawful basis for End User data

As data controller for Instance Data (see Section 8), you are responsible for establishing a lawful basis for processing End User personal data, for providing End Users with appropriate privacy information, and for honouring End User data-subject rights. You must not submit, and must take reasonable steps to prevent End Users from submitting, special category personal data (Article 9 UK GDPR) unless you have a valid Article 9 condition and have instructed us accordingly in writing.

6.4 Lawful use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You must not use the Service to:

(a) generate, store, or disseminate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise unlawful;
(b) impersonate any person or misrepresent your affiliation;
(c) process personal data unlawfully or without a valid lawful basis;
(d) interfere with, disrupt, or attempt to gain unauthorised access to the Service or any related systems;
(e) submit content that infringes the intellectual property or privacy rights of any third party;
(f) attempt to extract, copy, or reconstruct the underlying software, models, or weights of the Service, except to the extent such restriction is prohibited by law.

6.5 Regulated industries

If you operate in a regulated sector (e.g. healthcare, legal, financial services), you are responsible for ensuring your use of the Service meets all applicable regulatory requirements. You should obtain independent legal and compliance advice. Where your use involves health or other special category data, additional contractual measures may be required (see the DPA).


7. Intellectual Property

7.1 Our intellectual property

The Service, including all software, source code, object code, algorithms, fine-tuned models, user interfaces, documentation, logos, and trademarks (excluding base third-party LLMs and open-source components), is and remains the exclusive property of Perfect Paradox Ltd. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, and no ownership interest.

7.2 Your content

You retain all ownership rights in your Knowledge Base and other content you provide ("Your Content"). You grant Perfect Paradox a limited licence to host, store, process, and transmit Your Content solely as necessary to provide and support the Service and as described in the DPA.

7.3 End User content

Conversations between End Users and your Instance are processed by Perfect Paradox on your behalf as a processor. You are the data controller for such content. See Section 8 and the DPA.

7.4 No model training on your data

Perfect Paradox does not use Your Content, Instance Data, or End User conversations to train, fine-tune, or improve general-purpose AI models. Instance Data is processed solely to provide the Service to you, on your instructions, as set out in the DPA.

7.5 AI-generated responses

Responses generated by the Service are derived from Your Content and the underlying LLM. As between the parties, Perfect Paradox makes no claim of ownership over AI-generated responses delivered to your End Users; ownership and use are subject to applicable law.

7.6 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free licence to use and incorporate that feedback without obligation to you.

7.7 Trademarks and attribution

"C0RTEX", "Perfect Paradox", and related marks are trademarks of Perfect Paradox Ltd. You may refer to the Service factually but must not use our marks without prior written consent, except to display any "Powered by C0RTEX" attribution that your Plan requires.


8. Data Protection and the DPA

8.1 Roles

For Instance Data (Knowledge Base, End User conversations, and embeddings), you are the data controller and Perfect Paradox is the data processor, processing such data on your documented instructions to provide the Service.

For the limited personal data we collect directly from you to operate our business (e.g. account and billing contact details), Perfect Paradox acts as an independent controller, as described in the Privacy Policy.

8.2 Data Processing Agreement

The C0RTEX Data Processing Agreement governs our processing of Instance Data as your processor and forms part of these Terms. The DPA applies automatically to every Customer; no separate request is required. The DPA addresses, among other matters, the subject-matter and purpose of processing, sub-processors, international transfers, assistance with data-subject rights, security-incident notification, and deletion or return of data on termination, as required by Article 28 of the UK GDPR.

8.3 Privacy Policy

Our Privacy Policy describes how we process personal data for which we are the controller and is incorporated by reference.


9. Support and Updates

9.1 Support

Support is provided by email and through the channels and at the response levels described for your Plan on our website.

9.2 Updates

As a managed cloud service, we may update, improve, or modify the Service from time to time, including security and feature updates, which are applied automatically. We will use reasonable efforts not to materially degrade core functionality of your Plan.

9.3 End of life

If we decide to discontinue the Service, we will give you reasonable prior notice (no less than ninety (90) days) and will make your Instance Data available for export before deletion, in accordance with the DPA.


10. Disclaimers and Limitation of Liability

10.1 "As is"

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 AI accuracy

WE DO NOT WARRANT THAT AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. AI SYSTEMS CAN PRODUCE ERRORS, OMISSIONS, AND "HALLUCINATIONS". YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING AI-GENERATED CONTENT BEFORE RELYING ON IT.

10.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) IN NO EVENT SHALL PERFECT PARADOX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL;

(b) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;

(c) THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Exceptions

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable law; or (d) either party's obligations or liability under the UK GDPR to the extent they cannot lawfully be limited.


11. Indemnification

You agree to indemnify and hold harmless Perfect Paradox Ltd and its officers, employees and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising out of or related to:

(a) Your Content and your Knowledge Base;
(b) your use of the Service;
(c) your breach of these Terms;
(d) your violation of any applicable law, including data protection law, in your capacity as data controller;
(e) any claim by an End User arising from their interaction with your Instance.


12. Term and Termination

12.1 By you

You may cancel your subscription at any time through your account or by contacting info@perfectparadox.co.uk. Cancellation takes effect at the end of the current billing period.

12.2 By us

We may suspend or terminate your access immediately if:

(a) you materially breach these Terms and fail to remedy within fourteen (14) days of notice;
(b) you fail to pay amounts due;
(c) your use is unlawful or we reasonably believe it may cause harm to us, the Service, or third parties; or
(d) you become insolvent or enter analogous proceedings.

12.3 Effect of termination

On termination: (a) your right to access the Service ends; (b) we will handle your Instance Data (export and deletion) in accordance with the DPA; and (c) Sections 7, 8, 10, 11, and 13 survive termination.


13. General

13.1 Entire agreement

These Terms, together with the Privacy Policy and the DPA, constitute the entire agreement between you and Perfect Paradox regarding the Service and supersede all prior agreements on the subject matter (including any prior end-user licence agreement or installation terms).

13.2 Amendments

We may amend these Terms on at least thirty (30) days' notice of material changes by email or through the Service. Continued use after the effective date constitutes acceptance.

13.3 Severability; waiver; assignment

If any provision is held invalid, the remainder continues in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.

13.4 Force majeure

Neither party is liable for failure or delay due to circumstances beyond its reasonable control.

13.5 Order of precedence

In the event of conflict, the DPA prevails on data-protection matters; otherwise these Terms prevail over other materials regarding the Service.


14. Governing Law and Jurisdiction

14.1 Governing law

These Terms are governed by and construed in accordance with the laws of Northern Ireland and, where applicable, the laws of the United Kingdom.

14.2 Jurisdiction

The courts of Northern Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any non-excludable statutory rights you may have.
